Small Business Relief Is Ending. Here’s What To Do

Practical, plain-English breakdowns of UAE corporate tax, VAT, e-invoicing and bookkeeping, written for business owners, not accountants.

There’s one date every small business owner in the UAE should have written down somewhere: 31 December 2026. That’s the last tax period in which you can elect for Small Business Relief. Once it passes, it’s gone for good, and every business goes back to the standard corporate tax structure from 1 January 2027 onward.

A lot of business owners have heard of this relief in passing but haven’t actually sat down and worked out whether it applies to them, or whether it’s still the right move this year. So let’s go through it properly.

How UAE corporate tax works, in plain terms

The UAE brought in federal corporate tax under Federal Decree-Law No. 47 of 2022, and it’s applied to financial years starting on or after 1 June 2023. The basic structure isn’t complicated:

  • The first AED 375,000 of taxable income is taxed at 0%
  • Anything above that is taxed at 9%

This part isn’t temporary. It’s the permanent backbone of the system. So if your business made AED 1,000,000 in taxable income this year, you’d pay nothing on the first AED 375,000 and 9% on the remaining AED 625,000, which comes to roughly AED 56,250 in total.

Small Business Relief sits on top of that structure, and it works very differently.

What Small Business Relief actually gives you

Under Article 21 of the Corporate Tax Law, an eligible UAE resident business can elect to be treated as having zero taxable income for a tax period, as long as its revenue doesn’t go over AED 3,000,000 in that period and in every prior tax period.

Notice the word revenue there, not profit. This is important, and it’s where a lot of business owners get confused. The standard 0% band only protects the first AED 375,000 of profit. Small Business Relief protects your entire tax bill based on how much you brought in, regardless of your margins. If you qualify and elect it, your corporate tax for that period is nil.

That’s a meaningful difference for freelancers, sole establishments, and small trading businesses that have been leaning on this relief since the tax regime started.

Why the deadline actually matters

Small Business Relief was never meant to be permanent. It’s what’s usually called a sunset relief, built to help businesses ease into the corporate tax system rather than get hit with it all at once. It only applies to tax periods ending on or before 31 December 2026, and as of now, the Ministry of Finance hasn’t announced any extension.

If your business runs on a standard calendar year, that means the periods ending 31 December 2023, 2024, 2025, and 2026 are literally the only four in which you can ever make this election. Starting from the period that begins 1 January 2027, every business goes back to the normal 0% and 9% rates, no matter how small its revenue is.

If you haven’t elected the relief for a past eligible year, or you’re not sure whether your 2026 filing should include it, this is genuinely the year to get that sorted.

Who actually qualifies

To elect Small Business Relief, your business generally needs to tick these boxes:

Residency

You need to be a UAE resident person for corporate tax purposes. This includes foreign companies that are managed and controlled from within the UAE, since they’re treated as deemed residents.

Revenue threshold

Revenue has to stay at or below AED 3,000,000, and this isn’t just about the current period. It applies to every previous tax period as well. If your revenue crossed AED 3 million in any earlier period, you lose eligibility for that period and every period after it, even if your revenue drops back below the threshold later. There’s no coming back once you’ve crossed it.

Exclusions

Certain businesses can’t use this relief no matter how small their revenue is. That includes Qualifying Free Zone Persons who are already benefiting from the 0% free zone regime, members of Multinational Enterprise Groups, and members of larger domestic groups above a certain revenue threshold.

It has to be actively elected

This is the part people trip up on most. Small Business Relief is not automatic. You have to elect it yourself, every single time, when you file your corporate tax return through EmaraTax. Skip the election, and the relief simply doesn’t apply for that period, even if you would have otherwise qualified.

The upside most people don’t mention: simpler compliance too

Beyond the tax saving itself, eligible businesses can also benefit from simplified compliance. Businesses using Small Business Relief may file a simplified return rather than a full one, and are, by default, allowed to use cash basis accounting instead of accrual accounting, which is a lot less work for a small team without a dedicated finance function. If you’d rather stick with accrual accounting, you can elect to do that instead, but it’s worth knowing the simpler option exists.

The trade-off that catches people out

Here’s the part that often gets left out of the conversation. While Small Business Relief is elected, you can’t carry forward tax losses or net interest expense from that period into future periods.

If your business is currently running at a loss but you’re expecting a strong year or two ahead, think carefully before electing. Wiping out a small or nil tax bill today might feel good, but it could cost you the ability to offset real tax in the future when those losses would actually be worth something. This is exactly the kind of decision worth running through with an advisor rather than just ticking the box by default.

You still have to register and file, relief or no relief

This one surprises people every year. Even if your taxable income is zero, even if you elect Small Business Relief, even if you fall entirely within the 0% band, you are still required to register for corporate tax and file a return. There’s no exemption from registration, only from the tax itself.

And the penalty for missing registration isn’t small. Late registration carries a fixed AED 10,000 penalty, which applies even to businesses that end up owing zero tax. Assuming “we don’t owe anything, so it doesn’t matter” is one of the most expensive assumptions a small business can make right now.

Filing deadlines are consistent across the board: your return and payment are due nine months after your financial year ends. A business with a year ending 31 December 2025 needs to file and pay by 30 September 2026.

What to actually do before the window closes

  1. Go back through your revenue for every relevant tax period, not just this one, and confirm you’ve stayed under AED 3 million throughout.
  2. Model your tax position both with and without the relief, factoring in any losses or interest expense you might want to preserve for later.
  3. Check what category your business falls into. Free zone companies under the Qualifying Free Zone Person regime generally can’t use this relief, so make sure you know which regime actually applies to you.
  4. File the election correctly through EmaraTax. It won’t happen on its own.
  5. Get your paperwork in order regardless of which way you go. The FTA has ramped up risk-based audits this year, specifically targeting businesses that claim reliefs or exemptions without records to back them up.

The honest takeaway

Even if you claim the relief this final year, from 2027 onward you’ll be back to paying 9% on real profits above AED 375,000, same as everyone else. That makes 2026 less about squeezing out one more year of relief and more about using this year to get your books, your categorised expenses, and your understanding of what’s deductible properly in order, so that when the full rate applies, you’re already ahead of it instead of catching up.

Mudeer Group works with UAE businesses to check Small Business Relief eligibility, run the numbers both ways before you commit, and handle registration and filing correctly through EmaraTax. If you’re not completely sure where your business stands on this, it’s worth a conversation before your filing deadline, not after.
